智通财经APP讯，安井食品(02648)发布公告，基于安井食品集团股份有限公司(以下简称“公司”)整体发展规划和战略布局，为切实落实募集资金用途、进一步提升资金使用效率，公司决定使用非公开发行股票募集资金及自有资金，对全资子公司河南安井食品有限公司增资人民币1.2亿元。近日，上述子公司已完成工商注册登记手续，并取得归属地市场监督管理局换发的《营业执照》。
根据相关法律法规及《公司章程》《安井食品经营投资管理办法》的规定，本次增资事项在公司总经理审批权限范围内，无须提交公司董事会、股东会审议。
本次对全资子公司增资，是根据公司募投项目的实施进度以及实际资金使用需要等情况作出的决定，有利于保障募投项目顺利实施、提高募集资金使用效率，不存在损害公司和中小股东利益的行为，不存在变相改变募集资金投向和损害公司股东利益的情形，不会对公司的正常经营产生重大不利影响，符合公司长期发展规划。
