智通财经APP讯，金威医疗(08143)发布公告，本公司董事会谨此知会本公司股东及潜在投资者，本公司拟就本公司现有股份进行股份合并。
根据GEM上市规则第17.76条，倘发行人证券的市价接近极值0.01港元或9995.00港元，则发行人可能需要改变买卖方法或将其证券合并或分拆。此外，香港交易及结算所有限公司于2008年11月28日颁布并于2024年9月更新的“有关若干类别公司行动的交易安排的指引”进一步指出(i)股份市价低于每股0.10港元的水平将被视为 GEM上市规则第17.76条所指的极端情况下的交易;及(ii)经计及证券买卖的最低交易成本，每手买卖单位的预期价值应超过2000港元。基于现有股份的现行交易价格及每手买卖单位的价值低于2000港元，董事会拟实行股份合并。预期股份合并将导致本公司股份于联交所的交易价格相应上调。因此，股份合并将使本公司遵守GEM上市规则项下的交易规定。
