星盛商业（06668）发布公告，公司间接全资附属公司南京星恒与买方安林珊置业（深圳）有限公司（公司控股股东黄先生间接非全资拥有的公司）于2026年3月9日签订股权转让协议，南京星恒同意以代价550万元出售常州商管的100%股权。
此举旨在将常州商管的运营模式由整租服务模式转变为品牌及管理输出服务模式。交易完成后，常州商管将不再是公司的附属公司，其财务业绩将不再并入公司的财务报表。
根据公告，常州商管在2025年12月31日的未审计资产净值约为391万元。出售后，预计公司将录得会计收益约151万元。此次交易的所得款项将用于公司的一般运营资金。租赁协议将继续有效，常州商管将继续履行相关责任，而公司将不再承担与租赁协议相关的租赁负债和运营风险。
