汇量科技(01860)修订股权激励计划 并向CEO有条件授出股份绑定长期业绩

智通财经APP获悉,3月12日,汇量科技(01860)发布公告,宣布对员工股权激励制度进行修订,并基于新计划向首席执行官授出与业绩深度绑定的奖励股份。

修订后的员工受限制股份单位(RSU)计划明确,整体授权限额不超过已发行股份的10%,可通过发行新股来补充激励额度。同时,针对首席执行官、核心产品研发管理团队,分别设立了不超过已发行股份4%的分项限额。

同时,董事会已批准根据修订后的RSU计划向公司CEO有条件授出奖励股份,相关授出以新股发行方式落地,占公告日公司已发行股份的4.0%。该等股份的归属严格与服务年限、业绩及市值目标挂钩,设置了包含最高 1000 亿港元市值在内的阶梯式考核门槛与对应归属条件,且所有已归属股份均设有长达 5 年的禁售期,同时配套退扣机制、服务绑定等约束机制,强化长期利益绑定。该授出须待股东大会通过相关普通决议案批准及独立股东批准后方可生效。
