智通财经APP讯，招商银行(03968)发布公告，招商银行股份有限公司(本公司)于2017年12月非公开发行2.75亿股境内优先股(本次优先股)，募集资金总额为人民币275亿元，优先股简称“招银优1”，优先股代码360028。
本公司2016年度股东大会、2017年第一次A股类别股东会议及2017年第一次H股类别股东会议审议通过了《关于本公司非公开发行境内优先股方案的议案》，本公司2021年度股东大会审议通过了《关于调整招商银行境内优先股董事授权的议案》，同意授权董事会，并由董事会转授权相关董事共同在股东大会审议通过的框架与原则下，全权办理宣派和支付全部优先股股息、与赎回优先股相关的所有事宜等相关事宜。本公司执行董事、行长王良及非执行董事朱立伟已签署《关于全额赎回招商银行股份有限公司“招银优1”境内优先股并派发相应股息的决定》，同意本公司在取得国家金融监督管理总局批准后，按照本次优先股募集说明书约定的赎回价格全部赎回本次优先股并派发相应股息。
本公司已收到国家金融监督管理总局对本公司赎回本次优先股无异议的答复。本公司拟于2026年4月15日全额赎回本次优先股。
