智通财经APP讯，嘉瑞国际(00822)发布公告，于2026年3月17日，买方嘉瑞金属有限公司(本公司间接全资附属公司)与卖方佳县众拓汇鑫科技有限公司订立协议，据此，卖方同意出售，而买方同意收购目标公司嘉镁新材料科技(榆林)有限公司40%的股权，总现金代价为人民币1430万元。倘收购事项落实，于完成后，目标公司将成为本公司间接全资附属公司。
目标公司为本公司间接非全资附属公司，其中买方持有60%股权，而卖方持有40%股权。
董事会认为，收购后取得全部股权将使本集团获得完全管理自主权，从而加快决策速度，并加速在目标公司将新近研发、且具备阻燃、耐腐蚀及高导热特性的镁合金投入试产及商业化。
收购事项亦令目标公司更能有效回应市场对镁合金日益增长的需求，此增长乃受镁合金对铝合金较有成本优势，以及监管政策转向远离塑胶所驱动。同时，目标公司可借助其现有压铸产能，以及中国西北地区较低的能源成本及具竞争力的原材料成本，为客户提供综合的镁合金及压铸解决方案。长远而言，公司将拓展业务至覆盖整个中国西北地区。
