蓝鲸新闻3月20日讯，近日，中国证券监督管理委员会上海监管局发布行政监管措施决定书，剑指国泰海通证券股份有限公司。
决定书显示，海通证券股份有限公司（经吸收合并至国泰海通证券股份有限公司）作为海南普利制药股份有限公司2020年非公开发行股票项目和2021年向不特定对象发行可转换公司债券项目的保荐机构，在持续督导工作中，对部分应予以关注的异常情况或问题的核查不到位，项目组工作人员执业行为存在不规范，内部质量控制和内核不完善，出具的相关持续督导报告及专项核查意见结论不准确。
上述情形反映出公司合规管控不完善，不符合《证券公司投资银行类业务内部控制指引》《证券发行上市保荐业务管理办法》《证券公司和证券投资基金管理公司合规管理办法》的规定。
对此，中国证券监督管理委员会上海监管局决定对国泰海通证券股份有限公司采取出具警示函的监督管理措施。
