董事会建议委任符月敏女士(符女士)为本公司独立非执行董事。建议委任符女士为独立非执行董事须经股东于股东周年大会上以普通决议案审议批准后，方告生效。
杜莉女士(杜女士)(独立非执行董事、董事会辖下提名委员会及薪酬委员会成员)将不会于股东周年大会上参与重选连任，以便投入更多时间于其他个人事务。杜女士将根据本公司组织章程于股东周年大会上轮值退任，彼作为独立非执行董事及董事会辖下提名委员会及薪酬委员会各自的成员的职务将于股东周年大会结束时完结。
符女士将获委任为董事会辖下提名委员会及薪酬委员会成员，待彼之建议委任为独立非执行董事于股东周年大会上以普通决议案获股东审议批准后，方告生效。
