智通财经APP讯，TRUE PARTNER(08657)发布公告，于本公告日期，所有可换股债券先决条件均已达成。债券认购协议已于2026年3月27日完成，且本公司已向认购人发行本金额为245万美元的可换股债券。于本公告日期，认购人并无向本公司发出转换通知以进行任何换股股份转换。
诚如清洗豁免通函所述，执行董事Godefriedus Jelte Heijboer先生与Roy van Bakel 先生，以及独立非执行董事Jeronimus Mattheus Tielman先生与白琬婷女士(辞任董事)已于可换股债券完成日期向董事会递交辞任函，以辞任执行董事或独立非执行董事(视情况而定)，自2026年3月27日起生效。
于2026年3月27日及债券认购协议完成后，陈恒辉先生获调任为本公司主席、执行董事及首席业务发展官，吕伟良先生及林升鸿先生获委任为执行董事，以及胡伟亮先生及黄晓镔女士获委任为独立非执行董事，全部均即时生效。
