智通财经APP讯，信源企业集团(01748)发布公告，罗申美会计师事务所已辞任公司核数师，自2026年3月31日起生效，原因为罗申美未能协定审计公司截至2024年及2025年12月31日止年度财务报表的时间表。经考虑审核委员会的推荐建议后，已议决建议委任柏淳会计师事务所有限公司为公司新任核数师。
鉴于(a)于本公告日期，公司尚未刊发集团截至2024年12月31日止财政年度的年度业绩及截至2024年12月31日止年度的年报，且2025年年度业绩及2025年年报将载有源自2024年年度业绩的若干经审核财务资料;(b)辞任;及(c)建议委任须经股东于股东特别大会上批准，故公司未能按照上市规则于指定期限内刊发2025年年度业绩及寄发2025年年报。
上市规则第13.49(3)条规定，倘公司未能刊发其初步业绩，其必须根据尚未与核数师协定同意的财务业绩而公布其业绩(如具备该等资料)。董事会经审慎周详考虑后认为，公司不宜根据上市规则第13.49(3)条刊发集团截至2025年12月31日止年度的未经审核管理账目，此乃由于有关资料仍待落实及审核，可能对股东及潜在投资者产生误导。
