智通财经APP讯，数科集团(02350)发布公告，于2026年3月31日联交所交易时段后，本公司控股股东QH Technology Holdings Limited(QH Technology，由本公司主席兼执行董事闫威先生全资实益拥有)与买方(买方)订立买卖协议。
内容有关出售2000万股本公司股份(占本公司于本公告日期已发行股本的3.2%)，据此，买方已同意(其中包括)(i)自该协议项下交易完成当日起18个月内，不得出售、转移、转让或以其他方式处置标的股份，除非获得QH Technology书面同意;及(ii)不得于本公司任何股东大会上行使标的股份附带的投票权，以投票反对QH Technology所赞成的任何决议案(建议交易)。
在建议交易完成前及于本公告日期，QH Technology持有2.92亿股股份(占本公司已发行股本约46.7%)。于建议交易完成后(将于上述买卖协议日期翌日或QH Technology 可能同意的其他日期进行)，假设本公司已发行股本并无变动，QH Technology将持有2.72亿股股份(占本公司已发行股本约43.5%)，并将继续为本公司的控股股东。
