智通财经APP讯，茂盛控股(00022)发布公告，公司董事会获Winland Wealth (BVI) Limited(卖方)通知(该公司为本公司的控股股东，并由本公司执行董事兼董事会主席伦耀基先生(伦先生)间接全资拥有)，卖方已于2026年4月1日(交易时段后)与宏智证券(香港)有限公司(配售代理)订立配售协议。
根据配售协议，卖方已委任配售代理为其独家代理，而配售代理同意作为卖方的代理，促使独立于本公司、卖方及与彼等一致行动的人士，并与前述人士概无关连，且并非与前述人士一致行动之投资者(承配人)，以收购不少于9.29亿股本公司股份及最多13.27亿股股份(占本公司于本公布日期已发行股本约 67.47%，即卖方所持全部股份)(配售股份)，每股作价港币0.17元。配售代理亦同意尽最大努力促使承配人认购配售股份，并向卖方承诺，概无任何承配人(不论单独或连同其一致行动人士)于完成后持有本公司已发行股本30%或以上。配售事项预期将根据配售协议所载条款及条件于不迟于2026年4月14日完成。
