智通财经APP讯，捷利交易宝(08017)发布公告，于2026年4月1日，公司全资附属公司Power Mind Global Limited(买方)与卖方Tiger Faith Holdings Limited(卖方)、Tiger Faith AM International Limited (目标公司)及Tiger Faith Asset Management Limited(骏达资产管理有限公司)(资产管理公司)签订了一份股份购买协议。

据此，买方有条件地同意收购，而卖方有条件地同意出售予买方目标公司33.4%股权(拟议收购)。目标公司为资产管理公司的唯一股东。

根据协议，买方应付的总对价包括两部分：股份溢价：买方及卖方根据公平协商，参照一般及商业条款并考虑到目标公司及资产管理公司的业务发展价值，厘定买方拟收购的目标公司33.4% 股权溢价为88.84万港元;以及资产净值：由卖方委托的独立审计师以经审计财务报表或确认函方式厘定的交割日资产管理公司资产净值的33.4%。

董事会认为，香港金融服务业在政府政策的宏观支持下具有强劲发展前景。此次收购资产管理公司33.4%的权益，为集团进入就证券提供意见及资产管理业务、进一步打造多元化金融平台提供了良好切入点，相关牌照将助力集团为潜在客户提供更具特色的综合性产品与服务。是次收购事项亦与公司探索创新及新业务机会以多元化收入来源的方针一致。
