智通财经APP讯， 中恒电气(002364.SZ)发布公告，为促进实现公司与宁德时代新能源科技股份有限公司(以下简称“宁德时代”)的战略合作，公司控股股东杭州中恒科技投资有限公司(以下简称“中恒科技投资”)拟接受宁德时代对其进行增资，由公司与宁德时代开展战略业务合作。
宁德时代拟以41亿元(以下简称“增资对价”)认购中恒科技投资新增注册资本人民币1441.18万元，出资方式为货币及股权。其中宁德时代以其所持时代天源(深圳)科技有限公司(以下简称“时代天源”)99.6970%股权(以下简称“时代天源股权”)作价11.96亿元出资，增资对价扣减时代天源股权作价的剩余部分金额为货币出资。拟议增资完成后，中恒科技投资的控股股东、实际控制人保持不变，仍为朱国锭先生。
公告称，基于各方关于本次战略合作的相关安排，进一步发挥各方各自在相关领域的核心竞争力和资源优势，促进宁德时代与中恒电气围绕绿色ICT基础设施、交通电动化、新型电力系统(算电协同)等领域开展相关业务及战略合作。同时，宁德时代将通过一定方式参与上市公司治理。
