Inogen Appoints Jamali to Board, Enters Cooperation Agreement With Activist Investor

Inogen appointed Vafa Jamali as an independent director to its board as part of a deal with an activist investor.

With the appointment, the medical technology company entered into a cooperation agreement with Kent Lake Partners that includes standstill, voting and other provisions, the company said Monday.

Jamali's appointment takes effect on the date of the medical technology company's annual meeting, or June 15 if earlier. Jamali was previously chief executive of ZimVie. He has also worked at Covidien and Medtronic.

Inogen said Jamali's experience will help it shift from a single-product company into one offering a range of respiratory care.

"Inogen is well-positioned to drive meaningful growth, supported by its strong foundation in portable oxygen and an expanded, diversified product portfolio, as healthcare systems continue to shift care into the home," Jamali said.

Under Inogen's agreement with Kent Lake, the investor has agreed to vote in accordance with the board's recommendations, except on some transactions. Kent Lake has also agreed to certain customary standstill provisions prohibiting it from soliciting proxies and owning more than 4.99% of the company's outstanding shares.

Kent Lake said it believes Jamali will be a constructive addition to the board.

"Our recent discussions with the company have reinforced our confidence in the direction Inogen is taking," said Benjamin Natter, managing member of Kent Lake.
