智通财经APP讯，华润燃气(01193)发布公告，于2026年4月8日，本公司的间接全资附属公司润超充科技与华润融资租赁订立股权转让协议。根据股权转让协议，润超充科技同意购买而华润融资租赁同意出售华润能源服务股本总额的100%权益，代价约为人民币9151.92万元。
华润能源服务为于中国注册成立的有限公司，而于本公告日期，为华润融资租赁的直接全资附属公司。华润能源服务主要从事新能源电站的建设、经营、合同能源管理。
本集团认为，收购事项将有利于充分利用华润能源服务与作为专业综合能源平台公司对于本集团业务的战略支撑价值，以及探索现持有项目的市场拓展的价值。此外，诚如本公司最新年报中所述，中国政府将继续促进污染较少的能源的开发和利用，而本集团正致力提供安全可靠的洁净能源供应。因此，本集团相信收购事项将令本集团涉足分布式光伏发电行业，有利于进一步加快本集团在碳及能源管理服务领域的扩张及整合。
董事(包括独立非执行董事)认为，股权转让协议及其项下拟进行的交易属公平合理，并按正常商业条款订立。收购事项尽管并非于本公司日常业务过程中进行，但符合本公司及其股东的整体利益。
