南财智讯4月8日电，新高教集团（02001.HK）发布须予披露交易公告，拟与中原信托订立合作协议，共同设立信托计划，目标资本规模为人民币7亿元，其中新高教集团及/或关联实体拟出资人民币4.3亿元。该信托资金将专项用于新高教集团旗下新校园及现有校园建设、教学设施升级、学科课程发展、师资建设及科研创新平台运营，不涉及非教育领域支出。信托预期年化回报率最高为3%，所有投资者按出资比例享有同等分配权。信托架构下，新高教集团作为主要委托人及受益人，拥有对信托规模、存续、期限及终止的绝对决策权，并通过任意撤销条款确保控制权，该信托将纳入集团合并报表范围。中原信托担任受托人及管理人，收取不超过信托年度实际资产0.1%的资产管理服务费。
