智通财经APP讯，复锐医疗科技(01696)公布，董事会于2026年4月8日接获公司控股股东上海复星医药(集团)股份有限公司通知，为优化内部股权结构，复星医药两家间接全资附属公司能悦有限公司(能悦)和美中互利医疗有限公司(美中互利)分别于当日与另一家复星医药间接全资附属公司Fosun Pharma Industrial Pte. Ltd.(FPI)签订股份转让协议。
根据该等协议，能悦同意转让其持有的全部207,186,160股该公司股份(约占截至本公告日全部发行股份的44.24%)，及美中互利同意转让其持有的全部127,318,640股该公司股份(约占截至本公告日全部发行股份的27.18%)予FPI。建议重组尚待若干条件获满足方可完成。
建议重组完成后，FPI将取得公司71.42%的表决权，触发收购合并及股份回购守则下的强制性全面要约义务。据此，复星医药已申请，且证券及期货事务监察委员会已批准豁免因本次建议重组而需就公司股份作出全面要约的义务。
