智通财经APP讯，建发国际集团(01908)及建发物业(02156)联合公布，于2026年4月10日(交易时段后)，厦门益睿(建发国际及建发物业的附属公司)与该等卖方就可能收购目标公司(联发物业及建发城服)100%股权订立谅解备忘录。该等卖方各自均为建发国际及建发物业的关连人士。
建发城服主要从事城市公共服务及城市空间运营，及联发物业主要在中国从事物业管理业务，并主要为厦门联发及其关联方开发的物业提供住宅及商业物业管理服务。
建发国际及建发物业认为通过收购建发城服，建发物业将拓展城市服务业务板块，实现从社区服务到城市服务的迈进，主营业务更加多元化，丰富收入来源;通过收购联发物业，建发物业将扩充物业管理业务的管理面积，提升核心城市的管理浓度，扩大规模效益，从而有助于增加物业管理业务的收入和盈利规模;上述整合意在进一步增强建发物业的竞争优势和可持续发展能力，加快构建大物业综合服务体系，为全体股东创造更为稳健、持续的价值回报。
建发国际及建发物业认为谅解备忘录条款属公平合理，而可能收购事项亦符合建发国际及建发物业及其各自股东的整体利益。
