智通财经APP讯，宏信建发(09930)发布公告，有关收购上海宏祚股权的公告。于2026年3月31日，股权转让协议的所有先决条件已获达成，因此股权转让协议已无条件生效。收购事项已完成。本公司谨此就目标公司25.6306%股权的原始收购成本及目标公司其他股东的补充资料向股东及潜在投资者提供进一步资料。
上海宏祚成立于2017年，上海德朋为其创始股东。据悉，上海德朋持有的上海宏祚25.6306%股权的原始成本为人民币4528.3万元。诚如该公告所披露，收购事项的代价乃由各订约方经参考上海宏祚于评估基准日(即2025年12月31日)的股东全部权益评估值人民币2.64亿元，并考虑到上海宏祚于评估基准日后至交割日之间收到股东缴付的人民币3500万元注册资本后相应新增的股东权益，以及其业务表现、业务质量及预期增长后，经公平磋商而厘定。
于本公告日期，HongShan Infrastructure Fund I, L.P.为一家专注于新经济基础设施投资的投资基金。就本公司所知，其拥有广泛的投资者基础，且其有限合伙人(均为专业投资者)概无持有其30%以上的有限合伙权益。
