Procter & Gamble (PG) urged shareholders in a late Wednesday statement to reject a mini-tender offer by Potemkin to buy up to 10,000 shares at $100 apiece.

The company said that the offer price is nearly a 30% discount to the closing price on March 24 and stockholders who tender their shares will receive a below-market price.
