智通财经APP讯，茂盛控股(00022)发布公告，有关控股股东Winland Wealth (BVI) Limited(卖方)配售现有股份，董事会获卖方通知，配售事项已完成，故此配售事项可供配售的全部配售股份(即卖方持有的13.27亿股股份，占公司现有已发行股本约67.47%及相当于卖方于完成前所持的全部股份)均已由配售代理根据配售协议成功配发予不少于6名承配人。所有该等配售股份均已于2026年4月9日结算。
据配售代理称，各承配人均已确认彼及彼等各自的最终实益拥有人均独立于卖方、公司或与卖方或公司一致行动的任何人士，且与彼等概无关连，亦无与彼等一致行动。根据配售协议的条款，承配人(无论单独或连同与其一致行动的任何人士)于完成后不得持有公司已发行股本总额的30%或以上。
于完成后，卖方不再持有公司任何股份，因此不再为公司控股股东。公司进一步获配售代理告知，两名承配人，即陈继祥先生(紧接完成前为公司的独立第三方)及Max Premier Limited(紧接完成前为公司的独立第三方，其最终实益拥有人为陈先生)，已确定合共购入的配售股份占公司已发行股本总额约17.64%。因此，Max Premier Limited及陈先生于紧随完成后已成为公司主要股东。
