智通财经APP讯，智谱(02513)公布，于2026年4月14日，该公司拟向安狮红钻投资有限公司收购北京红钻科技发展有限公司100%股权，现金代价约为人民币8162万元，惟可于交割审计基础上作出收购框架协议所述的调整;及公司已同意以现金支付促使偿还相关债务，并承接总额约为人民币2.789亿元的相关债务的权利，惟须于交割日期确认后方可落实。收购事项的总代价将不超过约人民币3.61亿元。
据悉，目标公司主营业务为营运目标物业。目标物业位于中国北京市海淀区东北旺西路8号19号楼钻石大厦地下一层及一至三层的物业，总建筑面积约22,666.71平方米。
于交割后，该公司将获得目标物业的全部所有权，并透过目标公司持有目标物业，从而将优化公司资产结构。公司将保留目标物业自用，并于交割后将其部分业务营运搬迁至目标物业。此外，目标物业的潜在价值预期将支持公司长期战略规划，增强整体抗风险能力，并有利于公司可持续发展。
