兖矿能源（600188/01171）发布公告，控股子公司兖煤澳大利亚有限公司于2026年4月14日与卖方签署交易文件，拟收购红隼煤炭集团有限公司100%权益，间接取得红隼煤矿80%权益，交易对价上限为24亿美元，包括18.5亿美元首付现金对价及最高不超过5.5亿美元的或有现金对价。
兖煤澳洲将通过自有可用现金和12亿美元的5年期银团收购贷款支付首付对价，或有现金对价则以收购完成后首五年经扩大后的经营性现金流支付。
红隼集团最近三年主要财务信息显示，2025年度营业收入为44.72亿元，净利润为1.3亿元，扣除非经常性损益后归母净利润为3.03亿元。交易完成需满足多项审查和批准条件，存在不能最终达成的风险。
红隼煤矿位于昆士兰州鲍文盆地，是澳大利亚最大的在产井工煤矿之一，主产优质硬焦煤（约占80%），辅以半软焦煤与动力煤，产品以低灰分、高流动性、高塑性、有害元素含量低为特点，主要销往日本、韩国、印度及东南亚等亚洲钢铁企业市场。
2025年，兖矿能源实现收入1449.33亿元，归母净利润83.81亿元。
