智通财经APP讯，正干金融控股(01152)发布公告，于2026年4月9日，公司接获周端阳先生及Nova Pacific Investments Inc.(Nova Pacific)发出的转换通知，行使其权利将本金总额为4050.9万港元的可换股债券，按每股换股股份0.073港元的换股价转换为5.55亿股换股股份。
因应上述可换股债券所附带的换股权获行使，公司将根据特别授权配发及发行5.55亿股换股股份予认购人。
换股股份将与所有在配发日期的现有已发行股份及彼此之间在所有方面享有同等地位。紧随配发及发行换股股份后，公司已发行股份数目将增加5.55亿股股份至33.22亿股股份。该5.55亿股换股股份分别占(i)紧接转换前公司现有已发行股本约20.05%;及(ii)经配发及发行5.55亿股换股股份扩大后的公司已发行股本约16.70%。
