山西汾酒4月14日公告称，公司董事会于4月13日收到公司董事王彦先生的辞职报告，由于内部调任至华润集团，王彦先生申请辞去公司董事及董事会战略委员会委员职务，辞去上述职务后，其不再担任公司其他任何职务，王彦先生的辞职报告自送达董事会之日起生效。

公告显示，王彦先生原定任期到期日为2028年9月18日，截至公告披露日，王彦先生未持有公司股份，亦不存在应履行而未履行完毕的承诺事项，且确认与公司董事会无意见分歧，也无任何与辞职有关的需提请公司股东及债权人注意的事项。

根据《公司法》《公司章程》等相关规定，王彦先生的辞职不会导致董事会及审计委员会成员人数低于法定最低人数，不会导致董事会中兼任高级管理人员的董事以及由职工代表担任的董事超过公司董事总数的二分之一，其辞职报告自送达董事会之日起生效，不会对公司正常运营产生影响。

王彦先生离任后，公司第二大股东华创鑫睿将提名新的董事候选人。公司方面表示，王彦先生任职期间恪尽职守、勤勉尽责，在提高董事会决策的科学性、促进公司规范运作和健康发展等方面发挥了积极作用，公司及董事会对王彦先生任职期间所作贡献表示衷心的感谢。
