智通财经APP讯，阿尔法企业(00948)发布公告，经审慎考虑后，阿尔法海外有限公司(阿尔法海外，本公司的间接全资附属公司)(作为香港维勒斯贸易有限公司(维勒斯贸易，本公司的间接全资附属公司)的唯一股东)议决，维勒斯贸易应根据香港法例第32章公司(清盘及杂项条文)条例(“条例”)第241条自动清盘。因此，于2026年4月24日，阿尔法海外正式通过维勒斯贸易的特别决议案，以根据条例第241条以债权人自动清盘的方式将维勒斯贸易清盘。
本集团主要从事(i)奶粉及食品贸易(奶类产品业务);及 (ii) 提供仓储物流服务及清洁服务(服务业务)。根据本公司截至2025年9月30日止六个月的中期报告中所披露，维勒斯贸易的营运在与 Bubs Australia Limited 终止业务关系后已缩减规模，目前维勒斯贸易处于不活跃状态。此外，于报告中亦已披露维勒斯贸易集团涉及多个与其债务有关的诉讼和潜在索赔。根据维勒斯贸易集团于2026年2月28日的未经审核管理帐，维勒斯贸易无力偿债。
经考虑维勒斯贸易无力偿债、其终止营运以及业务前境有限，董事认为，维勒斯贸易的债权人自动清盘符合本公司及其股东的整体最佳利益，以使本集团将能在维勒斯贸易清盘后减少亏损，并将其资源投放于发展其奶类产品业务下的成人配方奶类产品新市场领域，以及管理及扩展其服务业务。
