法国机场集团ADP周四宣布，已与印度GMR集团达成协议，将出售其所持GMR Airports Ltd最多7.3%的股份，预计现金收入约为9.24亿欧元，合10.5亿美元。

　　分步出售与特别分红

　　此次交易采取分步实施的方式。根据公告，ADP已完成其中3.4%股份的出售，交易额为2.56亿欧元。同时，协议包含一项期权安排，ADP有权在2027年4月前向GMR集团出售剩余的3.9%股份，预计金额约为2.85亿欧元。

　　ADP表示，通过此次出售获得的现金将用于短期降低公司债务，同时也将用于回报股东。公司董事会已提议在2026年发放每股0.8欧元的特别股息。

　　保留治理权与战略考量

　　值得注意的是，尽管减持了股份，ADP强调该交易将保留其在GMR集团的治理权和“发起人”地位。公司表示，此次交易是其从国际资产中释放价值战略的一部分。

　　此外，协议还约定GMR集团将提前回购ADP持有的可转换债券，名义金额为3.01亿欧元，该回购最迟于2027年3月31日完成。

　　分析人士指出，ADP此次减持发生在全球机场资产估值处于高位之际，此举有助于优化其资产配置，同时GMR集团则借此增强了对旗下机场资产的控制力。
