智通财经APP获悉，中漆集团(01932)复牌一度飙升220%，截至发稿，涨144.98%，报0.61港元，成交额617.55万港元。
消息面上，北海集团与中漆集团联合公布， Prime Surplus 向权升控股收购8872.359万股股份，代价为887.24万港元，占已发行股份总数约4.66%，紧接完成后，要约人及一致行动人士持有已发行股份总数34.38%，要约人须就全部已发行股份提出强制性有条件现金要约。现金北海要约价每股0.1港元，较停牌前收市价0.178港元折让约43.82%。
要约人为 Prime Surplus 及新工投资。新工投资拟以其内部资源为北海要约提供资金，且Prime Surplus拟以徐浩铨的个人财务资源为北海要约提供资金。徐浩铨亦为北海非执行董事、中漆执行董事、主席及董事总经理。
紧随完成后，要约人持有北海约34.38%投票权，而北海则持有中漆75%投票权。要约人将须按例提出无条件强制性全面现金要约。现金中漆要约价每股0.0562港元，较中漆停牌前收市价0.249港元折让约77.43%。要约人拟维持北海股份及中漆股份于联交所上市。
