瑞士资产管理公司GAM Holding正遭遇一场由少数股东发起的反抗行动。他们担忧，随着大股东、法国亿万富翁泽维尔·尼尔通过增资获得超过70%的控股权且计划改组董事会，剩余30%的小股东影响力将荡然无存。
董事会提名引发争议。根据GAM为定于5月12日举行的年度股东大会提交的提案，董事会拟进行洗牌：首席执行官阿尔伯特·萨波塔及尼尔的儿子约翰·尼尔均被提名为新董事。少数股东代表指出，董事会绝不能成为大股东的“家族办公室”，目前的结构将导致其余约30%的股东被彻底边缘化。
为平衡话语权，持有GAM约2.5%投票权的小股东团体已正式提名独立候选人贝内德塔·阿雷塞·卢奇尼进入董事会。拥有逾15年金融科技及受监管金融企业经验的她，旨在董事会层面强化独立监督。尽管该提名已被董事会确认有效，但GAM官方建议股东拒绝这一提议，理由是现有六人董事会已足够平衡且多元化。
分析师指出，这场博弈的核心是治理问题。面对相关指控，GAM方拒绝置评。随着代理顾问介入及股东投票日临近，这场大股东与小股东之间的控制权攻防战即将迎来关键时刻。
