智通财经APP讯，中国宏桥(01378)公布，公司建议进行国际发售由公司仅向专业投资者发行以人民币列值以美元结算的可换股债券。若干投资银行已就建议债券发行获委任为账簿管理人及经办人。
在进行建议债券发行的同时，经办人建议促使债券买方出售名义上与债券相关的现有股份，而有关买方希望于有担保卖空中出售相关股份及公司有意购买于同步股本发售中出售的部分股份。发行债券为主要交易及预期同步股本发售将有助于希望对冲其债券投资的投资者进行初步对冲(及预期同步股份回购将有助于就债券订立更佳定价条款及减轻对股份的不利股价影响)。同步股份回购将由手头现金拨付资金及债券所得款项的拟定用途与同步股份回购并不相关。董事会认为，此回购活动反映董事会及管理团队对公司长期战略及发展充满信心，并认为回购股份符合公司及其股东的整体最佳利益。
