智通财经APP讯，上海电气(02727)发布公告，于2026年4月29日，董事会审议及通过了相关议案，同意公司全资附属公司安徽投资公司将其持有的五河项目公司100%股权、天长项目公司100%股权、蒙城项目公司100%股权、濉溪项目公司100%股权以非公开协议方式转让给电气控股，公司全资附属公司电气投资公司将其持有的响水项目公司100%股权以非公开协议方式转让给电气控股，
代价为以2025年10月31日为评估基准日五河项目公司、天长项目公司、蒙城项目公司、濉溪项目公司、响水项目公司的股东全部权益价值评估值为依据，合计为人民币4.2691亿元，本次股权转让价格以最终经国资备案的股权估值结果为准。
通过本次转让五个项目公司股权，公司将退出所持有的主要生物质发电运营项目，从而实现对非主业资产的剥离，为公司日常经营补充必要的流动资金，保障公司核心业务的持续发展。
