智通财经APP讯，希教国际控股(01765)发布公告，于2026年4月29日(香港时间)，买方新湾区发展(国际)投资有限公司(公司的间接全资附属公司)与INTJ集团订立证券购买协议，据此，按认购价每股12.50美元，买方已有条件同意认购且INTJ集团已有条件同意配发及发行认购股份。基于认购价每股12.50美元，认购事项的总代价为750万美元。

60万股INTJ集团新B类普通股(面值0.0002美元)将发行予买方，其须遵守证券购买协议所载的交割条件。认购股份数目合共相当于INTJ集团于本公告日期的现有已发行股本约39.0%，而除完成认购事项外，INTJ集团的已发行股本自本公告日期起直至完成认购事项并无其他变动。

于认购事项完成后，INTJ集团将成为公司的间接附属公司，而其财务报表将综合入账至公司的财务报表。公司将持有60万股INTJ集团B类普通股，相当于INTJ集团表决权的85.2%。

INTJ集团主要从事提供财经公关服务。公司认为，由于集团与INTJ集团的间就教育行业及国际扩展方面的潜在协同效应，认购事项有利于集团。于认购事项完成后，集团将通过INTJ集团的平台扩展其战略性资源，并为其学生提供优质学习、实习及就业机会，从而加强集团在教育行业的竞争力。
