路透纽约5月4日 - 支付处理及信息管理服务集团WEX WEX.N周一表示，已与Impactive Capital达成协议，将增补三名董事会成员并进行其他调整，从而在股东投票前数小时结束了这场代理权争夺战。

这场深夜达成的和解协议，发生在股东原定于周二进行最终投票以决定WEX董事会人选的前几小时，从而结束了本季最激烈的代理权争夺战之一。此前多位行业专家曾表示，激进投资者Impactive原本有望赢得这场争夺战。

Impactive提名的三位候选人，包括该对冲基金联合创始人劳伦·泰勒·沃尔夫（Lauren Taylor Wolfe），都将加入董事会，且WEX同意将董事长与首席执行官的职务分开。

此举使WEX首席执行官梅丽莎·史密斯得以保留董事会席位，与首席执行官无亲属关系的董事斯蒂芬·史密斯也将留任。现任董事南希·阿尔托贝洛将离任。

WEX的年度股东大会推迟了一周举行。
