特斯拉股东批准马斯克重磅天价薪酬方案后，其首份薪酬数据出炉，金额高达1580亿美元，数额惊人。

　　特斯拉于周四在监管备案文件中披露了2025年薪酬总额。近半年前，超过75%的有投票权股份表决支持这位首席执行官的巨额股权奖励。尽管这一数字十分惊人，公司同时也披露了多项重要附加说明。

　　特斯拉在备案文件中表示，公司每年公示的马斯克薪酬总额，与其实际到手价值之间可能存在“巨大偏差”。

　　特斯拉公示的马斯克薪酬数据与实际收益脱节，原因有几点。首先，去年获批的这份史无前例、潜在价值高达1万亿美元的薪酬方案，全部由股权奖励构成。该方案设置了行权条件：只有特斯拉股价大幅上涨、且公司达成各项经营里程碑目标，马斯克才能兑现收益。

　　由于特斯拉去年未达成任何市值及经营考核目标，马斯克实际到手薪酬为零。

　　此次披露的薪酬总额中，约1320亿美元，是按授予日公允价值、假设全部业绩条件均达成后，核算出的马斯克去年股权奖励最高估值。

　　剩余超260亿美元薪酬，是特斯拉董事会去年8月为马斯克批准的一份临时奖励的授予日公允价值。而受2018年旧薪酬方案恢复生效影响，马斯克已于今年4月放弃领取这笔款项。
