智通财经APP讯，荣尊国际控股(01780)及要约人杨敬尧先生联合公布，要约人已于2026年4月8日完成收购8400万股公司股份，占于本联合公告日期公司已发行股本约13.55%，总代价4368万港元，相当于每股股份代价0.52港元。
紧随收购事项完成后及于本联合公告日期，要约人于2.07亿股股份中拥有权益，占公司已发行股本总额约33.39%。根据收购守则规则26.1，收购事项触发要约人就全部已发行股份(要约人及其一致行动人士已拥有或同意将予收购者除外)提出强制性有条件现金要约的责任。力高证券及富中证券将根据收购守则为及代表要约人共同提出要约，每股要约股份现金0.52港元，较股份于最后交易日在联交所所报收市价每股1.00港元折让约48%。要约人根据要约应付的最高现金代价将为约2.15亿港元。
公司已向联交所申请自2026年5月8日上午九时正起恢复股份于联交所买卖。
据悉，要约人现年32岁，为单一最大股东，于本联合公告日期持有2.07亿股股份，占公司已发行股本约33.39%。
