智通财经APP讯，万成集团股份(01451)及要约人L.V.E.P.Holdings Limited联合公布，于2026年4月20日，L.V.E.P.拟向Ching Wai Holdings购买7500万股股份，约占公司已发行股本总额的36.69%。总现金代价为6000万港元，相等于每股销售股份0.80港元。

紧接完成后及于本联合公告日期，要约人、钟国强先生及钟丞晋先生合共持有147,572,000股股份，约占公司于本联合公告日期已发行股本的72.20%。根据收购守则规则13.1、13.5及26.1，要约人须提出强制性无条件现金要约，以收购所有要约股份及注销所有要约购股权。要约将向要约股份持有人及要约购股权持有人作出。每股要约股份的要约价为.0.80港元，较股份于最后交易日市价每股1.230港元折让约34.96%。要约人根据要约应付的最高潜在现金代价总额合计将为约5119.7万港元。

此外，公司已向联交所申请自2026年5月6日（星期三）上午九时正起恢复股份于联交所的买卖。

于本联合公告日期，要约人由钟国强先生全资实益拥有。钟国强先生为执行董事兼集团行政总裁，彼主要负责指导集团的整体管理及制定策略并监督业务营运。
