格隆汇5月12日丨皇朝家居(01198.HK)公告，董事会欣然宣布，于2026年5月12日，董事会通过决议案修订业绩股票奖励计划，当中包括：(1)将业绩股票奖励计划的期限延长五年，延期至2031年5月12日结束；及(2)删除业绩股票奖励计划中有关根据业绩股票奖励计划向受托人发行或配发新股份的条款，从而使业绩股票奖励计划成为仅由受托人于股票市场收购本公司现有股份作为奖励股份的股份计划。除上述修订外，业绩股票奖励计划其他条款维持不变。
业绩股票奖励计划于2021年5月14日采纳，除非提前终止，否则在任何提前终止的情况下，业绩股票奖励计划自采纳日期起五年有效期内仍然有效及具有效力。
于本公告日期，(i)自采纳业绩股票奖励计划以来，概无向业绩股票奖励计划项下任何合资格人士授出奖励；及(ii)120,690,000股股份由受托人以信托方式持有。上述股份均为公司委任受托人于市场上收购现有股份，且概无发行任何新股份。公司现时并无任何就受托人持有的股份授出奖励的计划。
根据业绩股票奖励计划的条款，业绩股票奖励计划可透过董事会的决议案于任何方面予以修订，惟有关修订不得对业绩股票奖励计划项下任何经选定人士的任何权利造成重大不利影响。
