金吾财讯 | 环境与工业服务提供商Clean Harbors(CLH)周四宣布，已达成最终协议，将以2.25亿美元全现金方式收购区域性危险及非危险废物解决方案供应商Terra Nova Solutions。此举旨在进一步强化其在卡罗莱纳州及周边地区的废物处理网络与现场服务能力。据悉，Terra Nova预计年收入约为4500万至5000万美元，调整后EBITDA约为1500万美元。Clean Harbors预计在整合后的第一个完整运营年度将产生约400万美元的年度协同效应。在计入协同效应后，本次交易的隐含市盈率(EBITDA倍数)仅为11.8倍。Clean Harbors联席首席执行官Mike Battles表示：“Terra Nova是公认的区域行业领袖，拥有长期稳定的蓝筹客户群。此次战略收购将与我们的废物处理网络形成理想互补，并创造显著的交叉销售机会。”
