智通财经APP讯，中国生物科技服务(08037)发布公告，于2026年5月18日，卖方(公司一间附属公司Central Laboratory (Group) Limited)拟向买方(Chan Kam Fuk先生)出售标准病理检验所全部已发行股本及卓纪保健全部已发行股本，总代价为350万港元，但须受买卖协议条款规限。
标准病理检验所的主要业务为提供医学实验室检测服务及健康检查服务。卓纪保健的主要业务为提供健康检查服务。于完成后，标准病理检验所及卓纪保健将不再为集团的附属公司，标准病理检验所及卓纪保健的财务业绩将不再并入集团财务业绩。
集团透过定期检讨旗下资产及业务，并在出现合适报价时考虑进行资产出售，持续致力提升其业务及财务表现。于2026年3月31日，目标公司未经审核负债净额约为2901.3万港元，已处于严重资不抵债状态。为剥离该低效业务分部，优化集团业务表现，以及避免目标公司持续亏损对集团造成额外财务负担，出售事项可让公司重新调配资源以支持整体战略发展。
