智通财经APP讯，讯众通信(02597)发布公告，根据公司经营发展规划，北京讯众通信技术股份有限公司(以下简称“公司”)拟将全资子公司江苏宏络网络科技有限公司(以下简称“江苏宏络”)(对应认缴注册资本1000万元，实缴出资250.3万元)49%的股权转让给上海鸿顺熵科技有限公司(以下简称“上海鸿顺”)。
本次股权交易的定价依据为按照江苏宏络的注册资本进行定价，转让的股权非已实缴出资对应的股权，因本次股权转让中上海鸿顺受让的49%股权公司未完成实缴出资，本次股权转让价格为0元，完成股权转让后，上海鸿顺按照其受让的股权比例履行对应的实缴出资义务，具体条款以双方正式签署协议为准。上海鸿顺与公司不存在关联关系，不涉及关联交易。公司董事会审议通过即开始办理相应的股权转让手续，本次股权转让事项完成后，公司持有江苏宏络51%的股权，上海鸿顺持有江苏宏络49%的股权。
本次转让全资子公司股权，是基于公司整体战略发展规划考虑，旨在优化业务布局和投资结构，有利于公司借助合作伙伴资源发展优势业务，提升公司整体盈利能力和核心竞争力。
