　　国农金融投资（08120）发布公告，就有关公司拟折让约11.76%配售最多2710.45万股配售股份。配售协议所载的一切条件已达成，且完成已于2026年5月15日落实。根据配售协议的条款，总计2710.45万股配售股份（占经配发及发行配售股份扩大后的本公司已发行股本约16.67%）已成功配售予不少于六名承配人，配售价为每股配售股份0.60港元。

　　据董事作出一切合理查询后所深知、尽悉及确信，承配人及彼等的最终实益拥有人（如适用）均为独立第三方，而概无承配人因配售事项而成为本公司的主要股东（定义见GEM上市规则）。配售事项所得款项总额约为1626万港元。

　　配售事项的所得款项净额（经扣除有关配售事项产生的配售佣金及其他相关开支）约为1581万港元，拟根据该公告先前所披露，分别（i）约80%用于偿还本集团的未清偿贷款及利息；（ii）约10%用于在中国发展农产品及相关业务以及酒精饮料业务，此部分需支付法律及专业费用、持续的市场推广开支及资本；以及（iii）约10%用于补充本集团一般营运资金，用作员工成本、专业费用及其他营运开支。
