智通财经APP讯，奇点国峰(01280)发布公告，于2026年2月6日，贵州仁怀与君翔就广告协议及相关补充协议订立终止协议(终止协议)，据此，双方同意自2026年1月15日起终止广告协议及所有相关补充协议。
根据终止协议，自2026年1月15日起，除终止协议另有规定外，贵州仁怀与君翔于广告协议项下的权利及义务即告终止。贵州仁怀与君翔进一步同意，根据广告协议的终止条款，任何一方均不因双方协议提前终止而承担违约责任。终止后，任何一方均不得就广告协议向对方主张任何权利、索偿或要求。
双方亦确认，就君翔于广告协议履行期间至2026年1月15日为贵州仁怀刊登的广告，君翔不可撤回及无条件豁免贵州仁怀的所有付款义务。
由于订立终止协议，建议按每股代价股份4.89港元的发行价向君翔发行及配发3361万股代价股份作为广告协议项下该服务第一年代价的安排将不再进行。
董事会认为，终止协议不会对本集团的业务运营或财务状况造成任何重大不利影响。董事会亦认为，终止协议的条款属公平合理，并符合本公司及股东的整体利益。
