美国农业科技公司Nature‘s Miracle Holding宣布，已与CM Fabrication， LLC签署意向书，将收购后者旗下三家投资组合公司55%的股权，包括CM Fabrication、CEA Studios及CM E-Commerce LLC。该交易将由第三方贷款机构提供约1100万美元收购融资，并计划用于偿还目标公司约1000万美元的现有债务。

　　CM Fabrication在伊利诺伊州Sycamore运营着一座50万平方英尺的先进制造工厂，提供精密金属制造、机器人焊接及先进电子制造服务。三家公司共同构成垂直整合的制造平台，专注于无人机、AI数据中心及园艺行业所需的美国产关键设备。目标公司2025年实现营收约860万美元，预计2026年营收将增至约1820万美元。

　　Nature‘s Miracle董事长兼首席执行官Tie Li表示，公司此前已建立战略合作伙伴关系以开发AI驱动的自主机器人解决方案，收购CM Fabrication将使其获得美国本土无人机制造能力，这对全球供应链至关重要。交易完成后，Nature’s Miracle计划通过与纳斯达克或纽交所上市的壳公司合并来实现转板上市。
