先健科技（01302）发布公告，于2026年5月22日，公司拟向卖方AUT-VII HK Holdings Limited收购北京华医圣杰科技有限公司（华医）约96.46%股权。交易代价约为人民币18.733亿元。代价将由公司向卖方发行可换股债券予以支付。交割后，华医将成为公司的非全资附属公司，其财务业绩将并入集团的综合财务报表。
作为一家医疗器械公司，华医主要从事血管介入医疗器械的研发、制造及销售。华医的产品主要用于治疗先天性心脏缺损及预防心因性栓塞性中风。华医于2003年在中国推出首批国产先天性心脏病封堵器之一，并于2009年推出中国首个卵圆孔未闭（PFO）封堵器产品。
华医主要从事血管介入医疗器械的研发、制造及销售，在专有技术、市场准入及研发能力方面具备竞争优势。董事认为，收购华医符合集团的整体发展策略，并将为公司带来长远的裨益。
