智通财经APP讯，马可数字科技(01942)发布公告，董事会建议透过增设额外180亿股每股面值0.01港元的未发行股份，将公司法定股本由2000万港元(分为20亿股每股面值0.01港元的股份)增加至2亿港元(分为200亿股每股面值0.01港元的股份)。建议增加法定股本须待股东于股东特别大会上以普通决议案方式批准后，方可作实。
董事会建议，待供股条件获达成及增加法定股本生效后，透过按合资格股东于记录日期每持有2股现有股份获配发1股供股股份的基准以认购价每股供股股份0.065港元供股6.86亿股供股股份筹集所得款项总额最多约4460万港元(扣除开支前)，并须于接纳时缴足。假设于记录日期或之前公司已发行股本总额并无任何变动，且供股获悉数接纳，则供股所产生的最高所得款项净额(扣除估计开支后)预计约为4320万港元。董事拟将所得款项净额分配如下：所得款项净额约50%将用作向集团现有融资服务业务注资;及所得款项净额约50%将拨作一般营运资金，包括员工相关成本及租金成本。
