智通财经APP讯，白云山(00874)发布公告，于2026年4月27日，广州医药与兴证资管签订《兴业圆融-广州医药应收账款5期资产支持专项计划基础资产买卖协议》，发行规模为人民币10亿元。据此，广州医药于2026年5月22日与兴证资管签订《交割确认函》，确认向兴证资管出售初始基础资产，并收到购买价款人民币10亿元。
广州医药为本公司的一家于中国成立的非全资附属公司，由本公司拥有90.92%股权。广州医药及其附属公司主要从事各类医药产品的分销及零售，并致力于向医药行业价值链上下游的合作伙伴提供供应链服务;主要向中国的医院及其他医疗机构、其他分销商以及零售药房提供全面、一体化分销服务。
广州医药通过该等交易项下的交易利用应收账款进行资产证券化，可以将应收账款转变为流动性较高的现金资产，达到盘活资产存量、拓宽融资渠道、优化自身财务结构的目的。鉴于上述原因及本公告所披露的该等交易的条款，董事会认为该等交易的条款属公平合理，符合本集团及本公司股东的整体权益。
