智通财经APP讯，三生制药(01530)发布公告，经考虑安永会计师事务所(安永)已担任本公司核数师逾15年，聘请具备同等资质的新核数师于未来数年为本公司及其附属公司(统称“本集团”)进行审计工作将更加符合良好企业惯例。根据本公司审计委员会(审计委员会)的推荐，董事会已议决于本公司即将举行的股东周年大会(2026年股东周年大会)上提呈一项决议案，批准委任毕马威会计师事务所(毕马威)为本公司新核数师，任期由2026年股东周年大会结束当日起至本公司下届股东周年大会结束当日止，而该建议委任须待本公司股东于批准后方可作实。安永将于2026年股东周年大会结束时任期届满而煺任本公司核数师，且不会获续聘。
于评估毕马威的资格及能力时，审计委员会审阅了毕马威的资历，认为毕马威具备履行本公司核数师职责所需的资格及能力(包括行业知识、技术能力、人力、时间及其他资源)。具体而言，审计委员会已评估以下各项：毕马威建议的审计计划及开支;毕马威处理香港联交所上市公司审计工作的经验、知识及技术能力;毕马威对本集团的独立性及客观性;毕马威的市场声誉及往绩记录;毕马威的资源及其他能力;及会计及财务汇报局发出的指引。
鉴于毕马威上述品质，根据审计委员会的推荐，董事会认为建议委任毕马威为本公司核数师符合本公司及股东的整体利益。
