智通财经APP讯，桦欣控股(01657)及要约人香港伟业软件股份有限公司联合公布，于2026年5月25日，卖方及要约人就买卖销售股份(即2397万股股份，相当于购股协议日期已发行股份总数的约74.91% 及卖方于公司的全部持股权益)订立购股协议，总现金代价为约1.985亿港元。
紧随完成后，要约人将于合共2397万股股份中拥有权益，相当于已发行股份总数的约74.91%。根据收购守则规则26.1，第一批销售股份买卖完成时，要约人须就所有已发行股份(要约人及要约人一致行动人士已拥有及╱或同意将予收购者除外)作出无条件强制性现金要约。每股要约股份现金8.323港元，较股份于最后交易日在联交所所报的收市价每股30.00港元折让约72.26%。
此外，公司将向联交所申请自2026年6月5日(星期五)(香港时间)上午九时正起恢复股份于联交所买卖。
于本联合公告日期，要约人由四方伟业直接全资拥有。四方集团为一家总部设于中国的大数据及人工智能产品及服务供应商，向中国(包括香港)的政府、能源、交通、金融及制造业等行业的客户提供涵盖数据采集、储存、分析及可视化的软件解决方案。
