阿克苏诺贝尔仍力推与美国艾仕得涂料进行对等合并

宣伟与日本涂料称，因阿克苏诺贝尔两度拒绝全现金要约，决定终止收购计划

　　竞争对手宣伟、日本涂料控股宣布放弃联合收购荷兰涂料巨头阿克苏诺贝尔（AKZA），此前两家合计作价 124.9 亿欧元（折合 145.3 亿美元）的收购邀约遭拒，受此消息影响，阿克苏诺贝尔股价大幅下挫。

　　欧洲周三早盘，阿克苏诺贝尔大跌 19%，报 53.74 欧元。此前受收购传闻提振，该股上周大幅走高，此番大跌后，年内累计跌幅扩至约 9%。据范达数据（FactSet）统计，本次跌幅创下该股史上最大单日跌幅。

　　日本涂料与宣伟表示，在阿克苏诺贝尔接连回绝两笔全现金收购报价后，双方决定终止收购进程。

　　对此，阿克苏诺贝尔发布声明：公司管理层与监事会仍一致主张推进和美国同业艾仕得涂料系统（AXTA）的对等合并。该并购方案于去年公布，合并后新涂料集团合计市值约 170 亿美元。

　　阿克苏诺贝尔上周披露，宣伟 + 日本涂料最新收购报价对应每股作价 73 欧元；收购方当时表示，在被拒后将评估后续行动。

　　阿克苏诺贝尔补充：本次收购方案原本由日本涂料发起公开要约收购，交易落地后，再由总部位于克利夫兰的宣伟拆分收购所得资产。
